1. Who we are
Ribboncut ("we", "us") is a trading name of AGM318, a sole proprietorship registered for VAT in Israel. Address: Daburiyya 1691000, Israel. Email: [email protected].
These terms cover our website, ribboncutstudio.com, and every video we make. They apply when you request a preview, and you accept them in writing when you order. Our Privacy Policy explains how we handle personal data.
2. Business customers only
We work only with businesses. When you order, you confirm that you are at least 18, that you are acting for a business (not as a consumer), and that you are allowed to accept these terms for it.
We don't take projects for gambling, alcohol or tobacco businesses, or for anything unlawful, deceptive or harmful. We may decline any project.
3. What we make
We make launch and teaser videos of about 60 seconds for your product. They are motion graphics built mostly in code, with music, sound effects and a voice-over. Some parts are made with AI tools (synthetic voice, music, sound effects and some visual shots), and all of them are licensed for commercial use. You choose horizontal (16:9) or vertical (9:16) for your video, at the same price, and you can order a 30-second video instead of the 60-second one, at the price in your order summary. We work in writing, by email.
Before you pay, we email you an order summary: the price, the deliverables and formats, any add-ons you chose, and the fixed price of an extra round of changes. You accept it, together with these terms, in writing before you pay. Your order summary sets the details of your order.
4. Free preview
Before you pay, we may make a short preview from your public website and anything you send us. It's free, and you have no obligation to order. The preview is only for judging our work, so please don't publish it. We never publish it either. If you order, parts of it may go into your video.
5. What you provide and promise
You send the answers to our intake questions and your materials: logo, brand assets, product screens and anything else you want shown. You confirm that:
- you own everything you send or have permission to use it, and you may let us use it to make your video;
- the factual claims you ask us to include (features, numbers, results, customer names) are true and you can back them up;
- another brand's logo (a partner, integration or customer) goes in only after you confirm in writing that you have the right to show it;
- a well-known or commercial song goes in only if you send us the actual licence document covering this use (sync and master rights). A written confirmation on its own isn't enough. Without that document, we use licensed music with a similar feel.
If someone claims that something you supplied, or a claim you asked us to make, breaks their rights or the law, you'll cover our reasonable costs of dealing with that claim.
6. Access to your product
To show your product, we ask for these in order:
- screenshots or a short screen recording of the steps to show;
- if those aren't possible, a demo account with dummy data;
- only if neither is possible, a temporary, limited (non-admin) account that we use only for recording. You send its password through a one-time, self-destructing link, never by email or chat.
We never save a password anywhere. Change the password or remove the account after delivery. If real customer data appears in the footage, we blur it before anything leaves our hands. Please don't send us personal data we don't need.
7. How a project runs
- Order: we send your order summary, and you accept it and these terms in writing. Founding clients also give their publication permission here (section 14).
- Deposit: you pay 50% of your video's price (add-ons not included) through a Payoneer payment request.
- Start: the project starts once the deposit has arrived and we have all your intake answers and materials. If anything is missing, we tell you promptly.
- Demo: we send an unfinished demo, and you reply with one consolidated list of changes.
- Watermarked preview: we send the finished video in lower quality with an animated watermark. The lower quality and the watermark appear only in this preview.
- Final payment: you pay the other 50% of your video's price, plus any add-ons you chose (section 10), through a Payoneer payment request.
- Delivery: we send the full-quality, watermark-free file(s) within 24 hours after the final payment arrives.
Monthly plan videos follow the same steps, except that they're prepaid and skip the watermark step (section 13).
8. Delivery time: what "on time" means
We're on time if the finished video (the watermarked preview, or on the Monthly plan the full-quality video) reaches you within 72 hours of our production time after Start. On the Monthly plan, that applies to your first video, and section 13 sets when the next ones are due. Our target is to send the demo within 48 hours, then the finished video within 24 hours of receiving your consolidated changes or your OK. The 72 hours run continuously, weekends and holidays included. These don't count toward the 72 hours or the Monthly plan's delivery times:
- time spent waiting for your reply, changes or approval;
- time spent waiting for missing or replacement materials, access or answers;
- delays caused by events outside our control (section 12).
The 72 hours cover the main video. Add-on versions follow it, by the date in your order summary.
9. Changes
Two rounds are included:
- one round of changes on the demo, sent as one consolidated list;
- one round of small fixes on the watermarked preview (on the Monthly plan, on the full-quality video): text, typos, colours, timing. We return them within 24 hours.
After those two, each extra round of changes is charged at the price in your order summary, paid through its own payment request before we start it. A new script or a new structure after the demo round is new work, and we quote it before we start. Extra rounds and new work don't count toward the 72 hours. After delivery, we fix our own mistakes for free (for example, a typo we introduced) if you tell us within 14 days.
10. Optional add-ons
When you order, we offer optional add-ons: a 30-second cut of your video, the second format (so you get your video both horizontal and vertical), or both. They're charged at the price in your order summary, so you see the price before you pay, and nothing is added unless you choose it. The price of your video doesn't depend on them. For a single video, add-ons are paid with your final payment, and one you add after that is paid before we deliver it. On the Monthly plan, they're paid with your next monthly payment, or before we deliver them if no monthly payment follows. If you add one later, we confirm it and its price in writing first.
11. Payment and refunds
- Prices are in US dollars and appear on our website or in your order summary. The price in your order summary is the one that applies, and we add no fees to it. Any taxes on your side are yours.
- You pay by bank transfer in US dollars (ACH or wire), through a Payoneer payment request we email you.
- No refunds, deposit included, except in three cases. In each of them, we refund what you paid for the affected video, add-ons included:
- we miss the delivery time in section 8 through our own fault (you choose whether to cancel and get that refund, or to continue);
- we cancel your project;
- an event outside our control delays us more than 7 days past the original deadline, and either of us cancels (section 12).
- We may close a project if the final payment isn't paid within 14 days of the watermarked preview, or if we hear nothing from you for 30 days at any stage. Closing a project this way isn't a cancellation by us: what you paid isn't refunded, and no licence is granted.
- Payment disputes: please email us first. If you dispute a payment for work we delivered under these terms, we'll give the payment provider or bank our records: your acceptance of these terms, your approvals and our delivery logs. If a payment is reversed, your licence ends.
12. Events outside our control
If war or an emergency, a power or internet outage, or a major outage at a provider we rely on delays us, we'll tell you promptly and the deadline moves by the length of the delay. If we still can't deliver within 7 days after the original deadline, either of us may cancel, and we refund what you paid for the affected video.
13. Monthly plan
For teams that launch often, we offer a Monthly plan.
- What you get: 3 or 5 videos a month, at the per-video price in your order summary. Each video follows the steps in section 7 and includes the two rounds in section 9.
- Payment: you pay each month in advance, through a Payoneer payment request. Plan months run from the start date in your order summary, and a month's videos can start once its payment has arrived. If a payment is late, work pauses until it arrives; that alone doesn't end the plan. Add-ons are paid with your next monthly payment (section 10).
- No watermark step: plan videos are already paid for, so there's no deposit, watermarked preview or final payment for each one. We send the finished video in full quality, your round of small fixes applies to it, and the corrected file follows within 24 hours.
- Delivery: your first plan video reaches you within 72 hours of our production time after it starts (section 8), and then we deliver one new video a day. So if you send the intake answers and materials for a month's videos together, a 3-video month is complete within 5 days of receiving them, and a 5-video month within 7 days. If you send them for different videos at different times, each video is counted from its own answers and materials, still at most one new video a day. A round of changes on one video doesn't hold up the next.
- Unused videos: a video that doesn't start in its month (it starts once we have its intake answers and materials) carries over to the next month only. After that, it expires and isn't refunded.
- Ending the plan: the plan runs month to month. Either of us can end it by email with 30 days' notice. We end a plan only for one of these reasons: a sector we don't work with (section 2) or a rights problem (section 5); repeated requests for work outside the plan, or abusive behaviour; a disputed or reversed payment; or a lack of capacity, or our stopping the service. A plan month that starts during those 30 days is still due, and its videos are still yours. Videos carried over from your last paid month can still start in the month after it.
- Refunds: the three cases in section 11 apply to each plan video, and what you paid for a plan video is its per-video price. If we end the plan for a lack of capacity or because we stop the service, we refund the paid videos we don't deliver. Ending it for one of our other reasons isn't a cancellation by us.
14. Founding-client offer
The first 5 paying clients who choose the founding offer, counted by deposit date, pay $1,200 for a single 60-second video instead of the standard $1,500. The offer doesn't apply to a 30-second video on its own or to the Monthly plan. In exchange for the founding price:
- Publication: in your order, before you pay the deposit, you give us written permission (accepting your order summary is enough) to show your final video, and your testimonial if you send one, with your name, title, company name and logo, as a sample on our website, on our social accounts and in our outreach. The permission lasts 12 months from your public launch date and can't be withdrawn during that time. We publish nothing before your launch.
- Testimonial: within 30 days of delivery, we ask you for a written testimonial about your honest experience, in your own words. It never has to be positive: a critical testimonial counts the same. If you don't send one, nothing changes. We may shorten it with your OK.
- Wherever we publish a founding client's testimonial, we say that they received a founding-client price.
- If you'd rather keep your video private, choose that when you order: the founding offer then doesn't apply, and you pay the standard price.
15. Samples and portfolio
Except for founding clients, we show your video as a sample only with your written permission, and we'll ask for it at delivery. Without your permission, your video stays private.
16. Your licence to the video
Once we receive full payment (for a plan video, the payment for its month), you get a worldwide, perpetual, royalty-free licence to use, copy, publish, show and edit the final video for any lawful purpose of your business, in any media, including paid ads. Editing includes shortening, cropping, captioning, translating and combining it with other content. Your agencies and contractors may use the video on your behalf. We won't sell or license your final video to anyone else.
What we keep: our code, templates, animation systems, tools and generic elements (transitions, motion styles, layouts). We may reuse them in other work, but never with your brand assets, product screens or script. Source code and project files aren't included unless your order summary says so.
Third-party and AI parts:
- Music and sound effects are licensed for commercial use as part of the video. Don't use them separately or register them in content-ID systems such as YouTube Content ID.
- The voice-over uses a licensed synthetic (AI) voice. The same stock voice may appear in other people's content. We don't clone a real person's voice without that person's written consent.
- Parts made with AI may not be protected by copyright, so we can't promise that others won't make something similar.
- If a third party claims that music, fonts or footage we supplied infringes their rights, we'll replace that element at no cost to you.
Until we receive full payment, you have no licence. The demo and previews are only for your internal review.
17. Confidentiality
We keep your non-public information and materials confidential and use them only to make your video. We share them only with the providers listed in our Privacy Policy, and only as your project needs. This doesn't cover information that is already public or that the law requires us to disclose.
18. Our website
The text, samples and design on our website belong to us or to the businesses that allowed us to show their work. Don't copy them without permission.
19. Liability
We make your video with reasonable skill and care. We make no other promises beyond these terms, including about views, sign-ups, sales or any other results.
Our total liability for any claim connected with a project is limited to what you paid us for that project (for a plan video, its per-video price). Neither of us is liable for indirect or consequential losses, such as lost profits, revenue or data, or a delayed launch. Nothing here limits any liability that the law doesn't allow to be limited, such as liability for fraud.
20. Governing law and disputes
If there's a dispute, email us first, and we'll both try in good faith to settle it within 30 days. These terms are governed by the laws of the State of Israel, and the competent courts in Nazareth, Israel have exclusive jurisdiction.
21. Changes to these terms
We may update these terms by posting a new version with a new date. The version you accepted when you ordered applies to that order (on the Monthly plan, until the plan ends).
22. General
Your order summary and these terms are the whole agreement between us, and if they conflict, the order summary wins. If any part of these terms is invalid, the rest still applies. If we don't enforce a right straight away, we haven't waived it. Neither of us may transfer this agreement without the other's consent, except that we may transfer it to a business that takes over Ribboncut, after telling you.
